1. Acceptance of Terms

By accessing or using the Hylios platform, website, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Hylios, Inc. ("Hylios," "we," "us," or "our").

2. Description of Services

Hylios provides a decision-first digital twin platform for supply chain management. Our Services include:

• Digital twin modeling of supply chain networks
• Scenario analysis across cost, service, risk, and time dimensions
• What-if simulation capabilities for decision support
• Collaboration tools for team-based decision making
• Related consulting and advisory services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without liability.

3. Account Registration

To access certain features of the Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that contain inaccurate information.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity of the Services
• Engage in any activity that imposes an unreasonable load on our infrastructure
• Scrape, data mine, or collect user information without consent
• Use the Services for any fraudulent or deceptive purpose
• Resell or redistribute access to the Services without authorization

5. Intellectual Property

5.1 Our Intellectual Property

The Services, including all content, features, and functionality (including but not limited to software, algorithms, text, graphics, logos, and designs), are owned by Hylios and protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of any data, information, or materials you upload to the Services ("Your Content"). By uploading Your Content, you grant Hylios a limited, non-exclusive license to use, process, and display Your Content solely to provide and improve the Services.

5.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used by Hylios without any obligation to you.

6. Payment Terms

6.1 Subscription Tiers

Hylios Intelligence is offered in tiers. The Intelligence tier is free. The Intelligence Pro tier is $19.99 per month (subject to change for future cohorts; existing subscribers are grandfathered for at least six months following any publicly announced price change). Twin and Enterprise tiers are sold through direct conversation and carry separate pricing. The Hylios Beta Program (pilots) is offered at $1,999 per month for a 3-month engagement and is priced separately from the subscription tiers.

6.2 Billing

Subscription billing is processed by Stripe, Inc. By subscribing you authorize us, through Stripe, to charge the payment method you provide on a recurring monthly basis until you cancel. All fees are exclusive of applicable taxes, which Stripe Tax will calculate and collect where required. You may update your payment method or cancel your subscription at any time from the portal Billing page.

6.3 Refunds & Cancellation

You can cancel at any time. Subscription fees are non-refundable except as required by law; cancellations take effect at the end of the current billing period, and you retain access to your tier until that period ends. We may offer pro-rated refunds at our sole discretion within 14 days of an Intelligence Pro upgrade as a goodwill gesture.

6a. Authentication & Account Access

We use single-use, time-limited magic links sent to your email address as the initial authentication mechanism. After your first sign-in you can set a password to bypass the email round-trip on future logins. Magic links remain available as a recovery path if you forget your password. You are responsible for keeping your email account and password secure; we recommend enabling two-factor authentication on the email address associated with your Hylios account.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free. The simulations and analyses provided by the Services are for informational purposes and should not be the sole basis for business decisions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYLIOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Hylios and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content

10. Termination

Either party may terminate these Terms at any time for any reason. We may suspend or terminate your access to the Services immediately if you breach these Terms. Upon termination:

• Your right to use the Services ceases immediately
• You may request export of Your Content within 30 days
• Provisions that should survive termination will remain in effect

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Hylios regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: No waiver of any term shall be deemed a continuing waiver.
• Assignment: You may not assign these Terms without our consent.
